Terms & Conditions

Welcome to www.pilotworks.ai, operated by Pilot Works Inc., a Delaware corporation ("Company", "we", "our", or "us"). By accessing or using our website and services, you agree to be bound by these Terms and Conditions.

1. Services
Pilot Works Inc. provides software that monitors an individual's work activity for a week and recommends the five best implementations of Copilot for that individual. Our AI experts then provide one-on-one sessions to help implement these suggestions.

2. User Responsibilities
You agree to provide accurate and complete information when registering or using our services. You are responsible for maintaining the confidentiality of your account credentials.

3. Intellectual Property
All content, trademarks, and software on this site are the property of Pilot Works Inc. or its licensors and are protected by intellectual property laws.

4. Restrictions
You may not use our services for any unlawful purpose or in a way that could damage, disable, or impair our services.

5. Limitation of Liability
To the maximum extent permitted by law, Pilot Works Inc. shall not be liable for any indirect, incidental, or consequential damages arising from your use of our services.

6. LLM Specific Features
The following shall apply to any Customers who utilize LLM within the Pilot Works Inc. services:

(a) Pilot Works Inc. shall engage third-party LLM providers, including but not limited to Microsoft's Copilot, to process personal data for generating personalized recommendations. The following conditions apply:

- The Customer consents to the use of LLM providers as subprocessors for processing personal data.
- Pilot Works Inc. will ensure that all subprocessors comply with applicable laws such as GDPR and CPRA, and that they process the data strictly according to Pilot Works Inc.'s instructions.
- Pilot Works Inc. will update the list of subprocessors as required under the DPA and provide notice to the Customer of any changes.

(b) If the Customer imposes data transfer restrictions that have been agreed to by Pilot Works Inc. in signed writing executed by someone with authority to bind the company, Pilot Works Inc. will acknowledge these restrictions and comply with them where applicable. However, if the Customer opts to use an external LLM provider that involves cross-border data transfers outside of approved regions, the following terms apply:

- Copilot: Data processed through Copilot will remain within Microsoft's infrastructure, compliant with any approved regional data transfer restrictions.
- External Providers: If the Customer chooses to use an external LLM provider, data may be transferred outside the U.S. or EEA. In this case, the Customer explicitly consents to such data transfers and releases Pilot Works Inc. from liability for the compliance practices of the third-party provider.

(c) By opting into the LLM-based feature, the Customer:
- Consents to the processing and transfer of personal data as described in this section.
- Assumes responsibility for ensuring that all end-user consents are obtained, as required under applicable data protection laws.
- Acknowledges that the Customer’s decision to use external LLM providers may introduce additional privacy and security risks. The Customer releases Pilot Works Inc. from any liability related to the security, privacy, or compliance of external providers.
- Agrees that Pilot Works Inc.'s liability for third-party LLM providers is solely limited to ensuring that these providers comply with Pilot Works Inc.'s processing instructions.

7. Confidentiality
Definition of Confidential Information: “Confidential Information” means all non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential.

Obligations: Both parties agree to:
- Maintain the confidentiality of all Confidential Information disclosed under this Agreement.
- Use Confidential Information solely for the purpose of fulfilling their obligations under this Agreement.
- Not disclose Confidential Information to any third party without the prior written consent of the Disclosing Party, except as necessary to comply with applicable laws or to engage subcontractors or agents who are bound by confidentiality obligations.

Exceptions: If the Receiving Party is required by law to disclose any Confidential Information, it shall:
- Provide the Disclosing Party with prompt written notice to allow the Disclosing Party to seek a protective order.
- Disclose only the portion of the Confidential Information that is legally required.

8. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.
